Memorandum of Understanding

A non-binding statement of intent and mutual commitment for organizational partnerships with OnRamp To Independence.

About this MOU: This Memorandum of Understanding (MOU) is a statement of mutual intent and shared commitment between the parties. It is not a binding legal contract unless the parties specifically indicate otherwise in writing. It does not create an employment, agency, or joint-venture relationship between the organizations.

This MOU is effective as of the date signed below and continues until the expiration date noted above, unless terminated earlier per Section 7. Both parties may renew this MOU by mutual written agreement prior to expiration.

6. Confidentiality & Data Sharing

Both parties agree to maintain the confidentiality of any non-public information shared in connection with this partnership, including but not limited to client/participant data, organizational records, financial information, and strategic plans.

Any sharing of client personal data between the parties requires a separately executed Release of Information (Form ORI-ROI-01) signed by the affected client, and must comply with applicable privacy laws and each organization's privacy policies.

7. Termination

Either party may withdraw from this MOU at any time with 30 days written notice to the other party. Both parties agree to work in good faith to wrap up any active collaborative activities in a way that minimizes disruption to the clients or participants being served.

8. Intellectual Property & Branding

Each party retains ownership of its own intellectual property, including names, logos, program materials, and other proprietary assets. Neither party may use the other's name or logo in any public materials without prior written approval.

9. Independent Organizations

The parties are independent organizations and nothing in this MOU shall be construed to create a partnership, joint venture, employment, agency, or other legal relationship between the organizations. Neither party shall have authority to bind or obligate the other in any way.

10. Dispute Resolution

In the event of a dispute arising from this MOU, the parties agree to first attempt resolution through good-faith discussion between designated representatives. If informal resolution is unsuccessful, the parties may agree to engage a neutral mediator. Nothing in this section prevents either party from terminating the MOU per Section 7.

11. Signatures

By signing below, the authorized representatives of each organization confirm that they have read and understood this MOU and that they have the authority to enter into it on behalf of their respective organization.
